1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Huely pre-launch landing page at huely.co (the "Landing Page"), operated by Huelyco LTD, a company registered in England and Wales ("Huelyco", "we", "us", or "our"). By submitting your details to join the Huely waitlist or by participating in the Referral Programme, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, please do not submit your information or participate in the Referral Programme. These Terms apply specifically to the pre-launch sign-up and referral activities. They do not constitute or create a contract for the provision of Huely as a software service. Separate terms of service will apply when the Huely product launches.

2. Definitions

In these Terms, the following words and expressions have the meanings set out below:

• "Huely" means the visual intelligence marketing platform being developed and intended to be launched by Huelyco LTD.
• "Landing Page" means the pre-launch website available at huely.co, through which users may join the Waitlist and participate in the Referral Programme.
• "Waitlist" means the list of individuals who have registered an interest in gaining early access to Huely by submitting their details via the Landing Page.
• "Early Access" means the opportunity, at Huelyco's sole discretion, to access and use Huely before or shortly after its general public launch.
• "Referral Programme" means the programme through which Waitlist members may share a unique referral link to invite others to join the Waitlist and, by doing so, may earn Referral Rewards.
• "Referral Link" means the unique URL assigned to each Waitlist member for the purpose of the Referral Programme.
• "Referral Reward" means the benefit(s) described in Section 5, which may be earned through qualifying participation in the Referral Programme.
• "Personal Data" has the meaning given under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and refers to any information relating to an identified or identifiable natural person.
• "User", "you", or "your" means any individual who accesses the Landing Page, joins the Waitlist, or participates in the Referral Programme.

3. Eligibility

To join the Waitlist and participate in the Referral Programme, you must:

• be at least 18 years of age;
• provide accurate, complete, and truthful information when signing up;
• have the legal capacity to agree to these Terms; and
• not be prohibited by any applicable law from accessing or using the Landing Page or participating in the Referral Programme.

By submitting your information, you confirm that you meet all of the above eligibility requirements. Huelyco reserves the right to remove any person from the Waitlist who does not meet these requirements or who has provided false or misleading information.

4. Waitlist Sign-Up and Early Access

4.1 Information Collected

When you sign up to join the Waitlist, we collect the following information:

• your email address;
• your full name;
• your company name; and
• your occupation or job title.

4.2 How We Use Your Information

We use the information you provide to:

• manage and maintain the Waitlist;
• determine your position on the Waitlist;
• communicate with you about Huely, including product updates, feature announcements, and launch notifications;
• administer the Referral Programme; and
• comply with our legal obligations.

4.3 No Guarantees

Joining the Waitlist does not guarantee early access to Huely, nor does it guarantee access to Huely at all. Huelyco does not commit to any specific launch date, and the timeline for the development and release of Huely may change at any time. The Waitlist does not constitute an offer, contract, or agreement to provide Huely as a service.

4.4 Huelyco's Right to Modify

Huelyco reserves the right, at any time and without prior notice, to:

• modify the Waitlist, including the criteria used to determine access order;
• change, delay, or cancel the launch of Huely;
• alter the features, functionality, or pricing of Huely before or after launch; and
• remove any user from the Waitlist for any reason, including but not limited to a breach of these Terms.

5. Referral Programme

5.1 How It Works

Once you have joined the Waitlist, you will be assigned a unique Referral Link. You may share this link with others to invite them to join the Waitlist. When another person successfully joins the Waitlist using your Referral Link, this counts as a qualifying referral.

5.2 Referral Rewards

Subject to these Terms, qualifying referrals may entitle you to the following Referral Rewards:

• Waitlist Priority Boost: a promotion of your position on the Waitlist, moving you closer to the front of the queue for Early Access.
• Extra Seats: upon the launch of Huely, additional user seats may be credited to your account, enabling more members of your team to access the platform.

The number of referrals required to earn each reward, and the specific value of each reward, will be as communicated on the Landing Page from time to time. Huelyco reserves the right to change the reward thresholds and values at any time.

5.3 Conditions and Anti-Gaming Rules

Referral Rewards are only available for genuine, qualifying referrals. The following are strictly prohibited:

• submitting fake, duplicate, or fraudulent sign-ups using any Referral Link, including your own;
• self-referrals (using your own Referral Link to sign up again under a different identity);
• using automated tools, bots, scripts, or any artificial means to generate referrals;
• sharing your Referral Link through spam, unsolicited bulk messaging, or in any manner that violates applicable law; and
• any other activity designed to game, manipulate, or abuse the Referral Programme.

Huelyco reserves the right to investigate suspected misuse of the Referral Programme and to disqualify any referrals it determines, in its sole discretion, to be fraudulent, artificial, or otherwise in breach of these Terms. Huelyco's decision on such matters is final.

5.4 Nature of Referral Rewards

Referral Rewards are subject to the following conditions:

• Referral Rewards are non-transferable and may not be exchanged for cash or any other consideration.
• Referral Rewards have no cash value and do not constitute a financial benefit, payment, or compensation of any kind.
• Referral Rewards are subject to change, withdrawal, or substitution at Huelyco's sole discretion at any time, including after they have been earned.
• The extra seats Referral Reward is contingent on the referring user maintaining an active account at the time Huely launches. If your account has been removed or you have requested deletion of your data before launch, you will forfeit any extra seats reward.
• All Referral Rewards are conditional on Huely launching. In the event that Huely does not launch for any reason, no Referral Rewards will be payable or deliverable.

6. Data Protection and Privacy

6.1 Our Commitment

Huelyco is committed to protecting your Personal Data and handling it responsibly. We process your Personal Data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

6.2 Data Collected and Purpose

We collect and process the following Personal Data for the purposes described:

• Email address — to communicate with you about Huely, manage your Waitlist position, and send you launch notifications and product updates.
• Full name — to personalise our communications and manage your Waitlist entry.
• Company name and occupation — to understand our prospective user base and tailor our communications.
• Referral data — to administer the Referral Programme and track qualifying referrals.

6.3 Lawful Basis for Processing

We rely on the following lawful bases for processing your Personal Data:

• Consent: for sending you marketing communications, product updates, and newsletters. You may withdraw your consent at any time (see Section 6.7).
• Legitimate interests: for managing the Waitlist, operating the Referral Programme, and carrying out internal analytics to understand demand for Huely. We have assessed that these legitimate interests are not overridden by your rights and interests.

6.4 Data Sharing

We will not sell your Personal Data to any third party. We may share your Personal Data with carefully selected third-party service providers who act as data sub-processors on our behalf. These may include:

• email marketing and communication platforms;
• website hosting and infrastructure providers; and
• analytics and waitlist management tools.

All sub-processors are required to handle your Personal Data in accordance with applicable data protection law and our instructions.

6.5 Data Retention

We will retain your Personal Data for as long as is necessary to manage the Waitlist and operate the Referral Programme. Following the launch of Huely, we will retain your data for a reasonable period to fulfil any obligations arising from your waitlist participation, after which it will be securely deleted or anonymised. If you request deletion of your data before this point, we will comply with your request in accordance with Section 6.7.

6.6 Your Rights

Under UK data protection law, you have the following rights in relation to your Personal Data:

• the right to access a copy of the Personal Data we hold about you;
• the right to rectification of inaccurate or incomplete data;
• the right to erasure ("the right to be forgotten");
• the right to restrict or object to our processing of your data;
• the right to data portability; and
• the right to withdraw consent at any time, where processing is based on consent.

6.7 Withdrawing Consent and Unsubscribing

You may withdraw your consent to receive marketing emails at any time by clicking the "unsubscribe" link in any email we send you, or by contacting us at info@huely.co. Withdrawal of consent will not affect the lawfulness of any processing carried out before the withdrawal.

Please note that even after unsubscribing from marketing communications, we may continue to send you transactional emails (such as waitlist updates or referral confirmations) where we have a legitimate interest in doing so.

6.8 Right to Lodge a Complaint

If you have concerns about how we handle your Personal Data, you have the right to lodge a complaint with the Information Commissioner’s Office (ICO), the UK’s supervisory authority for data protection matters. You can contact the ICO at ico.org.uk or by calling 0303 123 1113.

7. Communications

By joining the Waitlist, you consent to receiving emails from Huelyco about Huely. These may include:

• product updates and development news;
• launch announcements and early access notifications; and
• information about the Referral Programme, including your referral status.

You may unsubscribe from marketing communications at any time as described in Section 6.7.

In addition to marketing communications, Huelyco may send you transactional emails that are necessary for the administration of the Waitlist and Referral Programme (for example, confirmation of your sign-up, referral confirmation emails, or notifications about changes to your waitlist position). These transactional emails are not marketing communications and will be sent regardless of your marketing communication preferences, as they are necessary for the performance of our obligations to you under these Terms.

8. Intellectual Property

All content on the Landing Page, including but not limited to the Huely name, logo, branding, text, imagery, design elements, and any other materials, is owned by or licensed to Huelyco LTD and is protected by applicable intellectual property laws.

You may share your Referral Link to promote Huely and invite others to join the Waitlist. However, in doing so, you must not:

• misrepresent Huely, its features, or its capabilities;
• use Huelyco’s branding, logos, or trademarks without our prior written permission; or
• create an impression that you are acting on behalf of or are affiliated with Huelyco, unless we have expressly authorised this.

No right, title, or licence in relation to any Huelyco intellectual property is transferred to you by virtue of your participation in the Waitlist or the Referral Programme.

9. Disclaimers

Huely is currently in development. Nothing on the Landing Page should be interpreted as a commitment, guarantee, or warranty in relation to the final product. In particular:

• The features, functionality, pricing, and availability of Huely may change between now and launch, and after launch.
• Huelyco does not guarantee that the final product will include all features described or illustrated on the Landing Page.
• Any Iris scores, smart analysis examples, performance metrics, or other data shown on the Landing Page are illustrative only. They are provided to demonstrate the concept of the platform and do not constitute a guarantee of the performance, accuracy, or effectiveness of Huely or any analysis it may provide.
• Huelyco makes no representations about the commercial outcomes or marketing performance that users may achieve through the use of Huely.
• Joining the Waitlist does not constitute a contract for the supply of services, and Huelyco is under no obligation to launch Huely or to provide you with access to it.

The Landing Page is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Huelyco excludes all warranties, representations, and conditions, express or implied, in connection with the Landing Page.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Huelyco LTD and its officers, directors, employees, and agents shall not be liable to you for any direct, indirect, incidental, consequential, special, or exemplary loss or damage arising out of or in connection with:

• your use of, or reliance on, the Landing Page or any information contained on it;
• your participation in the Waitlist or the Referral Programme;
• any change to, delay in, or cancellation of the launch of Huely;
• any change to or withdrawal of Referral Rewards;
• any reliance placed on descriptions of Huely’s features, pricing, or capabilities; or
• any failure or interruption of the Landing Page.

Nothing in these Terms excludes or limits Huelyco’s liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable English law. Where liability cannot be excluded, Huelyco’s total liability to you in connection with these Terms shall not exceed £100.

11. Modifications to These Terms

Huelyco may update or amend these Terms from time to time. Where we make material changes, we will notify you by email using the address you provided when joining the Waitlist, and we will update the effective date at the top of this document. Your continued participation in the Waitlist or the Referral Programme following notification of any changes will constitute your acceptance of the updated Terms. We encourage you to review these Terms periodically. The current version of these Terms will always be available on the Landing Page.

12. Termination and Removal

12.1 Your Right to Leave

You may remove yourself from the Waitlist and opt out of all communications at any time by:

• clicking the "unsubscribe" link in any email we send you; or
• contacting us directly at info@huely.co and requesting removal.

Upon removal, we will delete or anonymise your Personal Data in accordance with Section 6.5, subject to any legal obligations we may have to retain certain records.

12.2 Huelyco’s Right to Remove

Huelyco reserves the right to remove any user from the Waitlist and/or the Referral Programme, with immediate effect and without prior notice, if we reasonably believe that the user has:

• breached any provision of these Terms;
• provided false, inaccurate, or misleading information;
• engaged in fraudulent, abusive, or harmful conduct in connection with the Landing Page, the Waitlist, or the Referral Programme; or
• acted in a manner that is damaging to Huelyco’s reputation or interests.

Upon removal by Huelyco, any accrued Referral Rewards will be forfeited.

13. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. If you are a consumer resident in Scotland or Northern Ireland, you may also have the right to bring proceedings in the courts of your country of residence.
